Terms and Conditions

By accessing or using Amader IT's website and services, you agree to be bound by the following terms. Please read them carefully.

1. About Us

Amader IT provides IT support and management services, web development, internet marketing, web hosting, data backup, ERP solutions, web-based software and applications, POS systems, and related professional services.

2. Eligibility and Account

You must be at least 18 years old, or have legal guardian consent, to use our services. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

3. Services and Engagements

Project scope, deliverables, timelines, fees and payment schedules are defined in a separate Statement of Work, proposal or invoice. Unless otherwise agreed in writing:

  • Estimates are valid for 30 days.
  • 50% advance payment is required to commence work unless a different term is agreed.
  • Time-and-material work is billed monthly.
  • We reserve the right to refuse service, suspend or terminate access for breach of these Terms or for unlawful use.

4. Client Responsibilities

You agree to:

  • Provide accurate information, content, access and approvals in a timely manner.
  • Ensure you hold all necessary rights to materials you supply to us.
  • Not use our services for unlawful, infringing, harmful or abusive purposes.
  • Understand that delays caused by client-side dependencies may affect agreed timelines and costs.

5. Intellectual Property

Pre-existing IP

Each party retains full ownership of intellectual property owned before the engagement commenced.

Client Materials

You retain ownership of your content, trademarks and data. You grant Amader IT a worldwide, non-exclusive license to use, host and reproduce such materials solely to deliver the contracted services.

Deliverables

Upon receipt of full payment, ownership of custom-developed deliverables specified in the SOW transfers to you — except for Amader IT's background tools, frameworks, libraries, know-how, and any third-party or open-source components, which remain subject to their respective licenses. We may showcase non-confidential work in our portfolio unless you request otherwise in writing before project start.

6. Hosting, Support and SLA

Hosting services are subject to fair use and our Acceptable Use Policy. We target 99.5% monthly uptime, excluding scheduled maintenance windows. Support is provided during business hours (Sat–Thu, 9:00 AM – 7:00 PM Asia/Dhaka), with 24/7 critical incident monitoring where contracted.

We are not liable for downtime caused by third-party infrastructure providers, force majeure events, or client-side misconfiguration.

7. Fees, Taxes and Payments

All fees are in BDT (Bangladeshi Taka) unless stated otherwise. Invoices are due within 7 days unless otherwise agreed. Late payments may incur a 1.5% monthly service charge. Applicable taxes, VAT and withholding obligations are the client's responsibility unless explicitly included in the quoted fee.

8. Confidentiality

Both parties agree to protect confidential information disclosed during the engagement with reasonable care, and to use it solely for the purpose of delivering the agreed services. This obligation does not apply to information that is publicly available, independently developed, or required to be disclosed by applicable law.

9. Data Protection

We process personal data in accordance with our Privacy Policy and applicable laws of Bangladesh, including the Digital Security Act 2018 and the Cyber Security Act 2023. Where we process data on your behalf, Amader IT acts as data processor and you act as data controller.

10. Warranties and Disclaimers

We will perform all services with professional skill and care. Except as expressly stated, services are provided "as is" and "as available". We do not warrant uninterrupted or error-free operation, nor that deliverables will meet every business outcome expectation.

11. Limitation of Liability

To the maximum extent permitted by applicable law, Amader IT's total liability arising from or related to the services is limited to the amount paid by you for the specific service giving rise to the claim during the 3 months preceding the event. We are not liable for indirect, incidental, consequential, or punitive damages, including loss of profit, data, or goodwill.

12. Indemnity

You agree to indemnify, defend and hold Amader IT and its officers, directors, employees and partners harmless from any claims, losses, damages, or expenses (including legal fees) arising from your content, your unlawful use of our services, or any breach of these Terms.

13. Termination

Either party may terminate for material breach with 14 days' written notice if the breach is not remedied within that period. We may suspend services immediately for non-payment, security risk, or legal compliance reasons. Upon termination, you must pay for all work performed up to and including the termination date.

14. Governing Law and Dispute Resolution

These Terms are governed by the laws of the People's Republic of Bangladesh. Both parties agree to first attempt resolution through good-faith negotiation. Unresolved disputes shall be submitted exclusively to the courts of Dhaka, Bangladesh.

15. Changes

We may update these Terms from time to time to reflect changes in our services or applicable law. Continued use of our services after any updates are posted constitutes acceptance of the revised Terms. Material changes will be communicated via website notice or email.
